Random Acts 15th Anniversary Auction

Terms and Conditions of Sale

By placing a bid, purchasing an item through the “Buy It Now” option, or otherwise participating in the Auction, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions of Sale (“Terms”). Please review these Terms carefully before participating.

PLEASE NOTE: SECTION 15 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES ARE RESOLVED.

1. About This Auction

The Random Acts 15th Anniversary Auction (the “Auction”) is a charitable fundraising event organized by Random Acts (“Random Acts,” “we,” “us,” or “our”). Random Acts is a nonprofit organization recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code. Net proceeds from the Auction will be used to support Random Acts’ charitable mission and activities.

The Auction is scheduled to take place from October 27, 2026 through November 8, 2026. Random Acts reserves the right to modify, extend, suspend, or cancel the Auction, in whole or in part, at its discretion, subject to applicable law.

2. Conditions of Sale

By placing a bid, you make a binding offer to purchase the item at the amount bid. If you are the winning bidder or purchase an item through “Buy It Now,” you agree to pay the winning bid amount or “Buy It Now” price, as applicable, plus the shipping and handling cost stated in the item listing. All costs are disclosed in each item listing.

By placing a bid or making a purchase, you acknowledge that you have read and agree to these Terms and any additional conditions specified in the applicable item listing.

You must be at least 18 years old to participate in the Auction.

3. Item Condition and Disclaimer of Warranties

  • All items offered in the Auction have been donated to us and are sold “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, condition, or authenticity, except as expressly stated in the applicable item listing or required by law.
  • We make reasonable efforts to accurately describe and photograph each item. However, actual colors, appearance, condition, and other characteristics may vary from the photographs or descriptions. Minor variations do not constitute grounds for a return or refund.

4. Item Value and Tax Information

We have not obtained independent appraisals of the items or experiences offered in the Auction. Any starting bid or other auction price does not necessarily reflect an item’s fair market value.

Random Acts is a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code. Because winning bidders receive goods or services in exchange for payment, only the portion of the payment exceeding the fair market value of the goods or services received may qualify as a charitable contribution deduction under U.S. federal tax law.

A receipt will be emailed upon completion of payment. Where required by applicable law, Random Acts will provide additional information regarding the estimated fair market value of the goods or services received.

Random Acts does not provide tax advice. Bidders should consult their own tax advisors regarding the deductibility of their payments.

5. Experiences

  • Each experience may be subject to additional restrictions, eligibility requirements, expiration dates, availability, and other conditions described in the applicable item listing. Please review the listing carefully before bidding.
  • Experiences must be redeemed within the time period stated in the applicable item listing. Unless otherwise stated in the listing or required by law, expired or unused experiences are not refundable, extendable, transferable, or exchangeable.
  • Travel, lodging, transportation, meals, and other incidental expenses associated with an experience are the winning bidder’s responsibility unless expressly stated otherwise in the applicable item listing.
  • Dates, locations, participants, and other details of an experience may change due to scheduling, availability, health or safety considerations, or circumstances beyond our reasonable control. If the experience cannot take place as described, we may, as appropriate under the circumstances, reschedule the experience, provide a reasonably comparable alternative, or refund the amount paid for the experience.

6. Waivers

Certain experiences, including those involving makeup application, physical contact, transportation, or other in-person activities, may require the winning bidder or participant to sign additional waivers, releases, or consent forms as a condition of participation. Any such requirement will be identified in the applicable item listing. If a participant declines to sign a required waiver, release, or consent form, the participant will not be permitted to participate in the experience, and, unless otherwise stated in the applicable item listing, the amount paid will not be refunded except as required by law.

7. Payment

Payment is due immediately upon the close of bidding for an item or, for Buy It Now purchases, at the time of purchase. The total amount payable is the winning bid or Buy It Now price plus the shipping and handling cost stated in the item listing.

Shipping charges apply separately to each item purchased. Items will not be combined for shipping unless otherwise expressly agreed by Random Acts.

If payment is not received within 24 hours after the close of bidding, we reserve the right to cancel the transaction and offer the item to the next highest bidder or relist the item, without further notice to the winning bidder.

All sales are final. Payments are nonrefundable except as expressly provided in these Terms or required by applicable law.

8. Shipping

  • Items will be shipped to the address associated with your iRostrum account. Please confirm that your shipping address is complete and accurate before submitting payment. We are not responsible for delays, losses, or additional costs resulting from an incorrect or incomplete address provided by the winning bidder.
  • Each item listing states the shipping and handling cost for that item. Shipping and handling costs are final and will not change after purchase.
  • International buyers are responsible for all applicable customs duties, import taxes, brokerage fees, or other charges imposed in connection with international delivery. These amounts are not included in the shipping and handling cost stated in the item listing.
  • Items will ship within 5 business days, unless the item is being shipped directly by its donor, in which case shipping may take longer.
  • Delivery times vary based on destination, carrier, customs processing, and other circumstances outside our control. We do not guarantee delivery by any particular date.

9. Lost or Damaged Items

Once an item is delivered to a carrier for shipment, we are not responsible for loss, theft, delay, or damage occurring in transit or after delivery. Any claims relating to shipping or delivery should be submitted to the applicable carrier.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Random Acts, Misha Collins, Creation Entertainment, All7Studios, and their respective officers, directors, employees, agents, volunteers, partners, and representatives (collectively, the “Released Parties”) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Auction, including any bids, purchases, items, experiences, or related activities.

To the fullest extent permitted by law, the Released Parties’ total aggregate liability for any claim arising out of or relating to the Auction shall not exceed the amount paid by the claimant for the item or experience giving rise to the claim.

11. Our Rights

Random Acts reserves the right to withdraw an item, cancel or reject a bid, or modify, suspend, or end the Auction early if reasonably necessary. We may also reject or cancel any bid or sale that we reasonably believe was made in error, in bad faith, or in violation of these Terms.

12. Prohibited Conduct

Random Acts reserves the right to reject or cancel bids involving suspected fraud, bid manipulation, unauthorized automated bidding, or other conduct that interferes with the integrity of the Auction.

13. Technical Error and Platform Interruption

In the event of a technical error, platform interruption, or other issue that materially affects bidding, Random Acts may suspend, extend, or restart bidding for any affected item, subject to applicable law. We are not responsible for technical failures, interruptions, or errors affecting the auction platform that are beyond our reasonable control.

14. No Affiliation or Endorsement

Unless expressly stated otherwise, the inclusion of any item in the Auction does not imply any affiliation with, sponsorship by, or endorsement from any third-party brand, manufacturer, studio, network, or other rights holder. All trademarks, logos, and other intellectual property associated with Auction items remain the property of their respective owners.

15. Dispute Resolution; Arbitration; Class Action Waiver

Informal resolution. Before bringing any formal claim, you agree to first contact us at fundraisingsupport@randomacts.org and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Auction, including any bids, purchases, items, or experiences, that is not resolved informally shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator and may take place by video conference, by written submissions, or in person in the county where you reside. Judgment on the award may be entered in any court of competent jurisdiction. This agreement to arbitrate is governed by the Federal Arbitration Act.

Class action waiver. You and Random Acts agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court if the claim qualifies, and either party may seek injunctive relief in court to protect its intellectual property rights.

Severability. If the class action waiver is found to be unenforceable, then this entire Section 15 (other than this sentence) shall be void, and the dispute shall proceed in court.

16. Governing Law

These Terms are governed by the laws of Delaware, without regard to its conflict-of-law principles, except that Section 15 is governed by the Federal Arbitration Act.

17. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.

18. Questions
